Follow up to my reply yesterday...........

I solved the problem thanks to the hints you gave me in your message.
Here's the gist of it:

By using "Process Explorer" from System Internals (now MS) I was able
to isolate the service and applicable executable file that was driving
the CPU to 100 percent usage.

Of all things, it turned out to be the "Automatic Update Service".
Surprised the heck out of me too!  I switched the service to "manual"
and everything returned to normal.  However, this didn't sound right
to me.  Why would it out of the blue start acting like that?  I
decided to do some testing.....

With the service still set to manual, I accessed the "Microsoft
Updates Page".  I was soon greeted with the error message that said to
the effect - something was wrong with my Automatic Updates settings
and I should check to see if the following services were set
correctly:

1.  Automatic Updates = set to Automatic
2.  BITS = set to Manual
3.  Event Reporting = set to Automatic

Now I thought.... What gives?   A little further checking into
services I discovered BITS was set to Automatic.  Changed it to Manual
and then changed Updates back to Automatic.  Everything returned to
normal, no unusual CPU usage.

How BITS got set to Automatic, I have no idea.   And, I'm not so sure
that on a faster multi-threading CPU it would make a difference
anyway.  BITS (Background Information Transfer System) probably should
be set to Automatic for most usage I would think, or am I not seeing
something?

Take a look at your settings and see what you have.  My desktop CPU is
rather old (P-III Coppermine, 1 GHZ) so it probably doesn't take much
to bog it down.

BTW, if you don't already have a copy of "Process Explorer", get a
copy.  It's much easier to see what's going on than using
"tasklist.exe".
